**Position Description**
Corporate paralegals assist Company attorneys in all stages of litigation, corporate transactions, and with the preparation of documents necessary to comply with federal, state, and local regulations in the conduct of business activities. This excludes rendering legal opinions, legal advice, and other practices of law that only attorneys are authorized to perform as a matter of ethics and of law. Duties may relate to Tucson Electric Power Company, UNS Energy Corporation, or any of their subsidiary or affiliated companies.
**Position-Related Responsibilities for Level I**
_Litigation_
+ Handles case management of basic civil lawsuits (personal injury, property damage, etc.) of low to medium risk to Company. Coordinates with, interacts with, and provides support to in-house and outside attorneys who represent Company in legal disputes. Calendars key dates. Monitors and maintains internal litigation status reports and court dockets.
+ Identifies and interacts with internal fact witnesses and custodians of records in performing fact-finding investigations and in the collection and/or identification of physical and electronic records, physical evidence, and other case-related information.
+ Attends witness interviews and depositions with in-house and outside attorneys and prepares interview and deposition summaries. Assists with preparation of various pleadings and case-related documentation under the guidance of an attorney. Attends legal proceedings with attorneys.
+ May serve as Company and various affiliates statutory agent, including by receiving service of process.
+ May assist with issuance and tracking of litigation hold orders.
_Corporate and Compliance Matters_
+ Assists with forming, registering, maintaining, and dissolving business entities, including confirmation of name availability, filing of required documents with appropriate regulatory agencies (e.g., annual reports), drafting board resolutions/minutes, preparing and maintaining minute books and performing other corporate secretarial duties.
+ Drafts, finalizes, and files with Arizona Secretary of State standard state trade name and trademark applications and renewals, which includes basic preliminary use searches, communication with in-house attorneys and appropriate Company stakeholders, and collection of all supporting documents. Monitors and maintains intellectual property tracking log, including trademark and trade name portfolio.
+ Prepares and files applications, renewals, and other documents related to Company contractor licenses, as needed and as requested, with applicable governmental agencies. Calendars/tracks contractor license expiration and renewal dates.
+ Assists Company attorneys with Federal Energy Regulatory Commission (FERC) compliance and other FERC-related filings. Maintains FERC matter logs and reports. Collects data for, prepares, and files with FERC required compliance reports.
+ Assists Company attorneys with preparation of filings required by the Securities and Exchange Commission (SEC) and other similar filings.
+ Assists Company attorneys with preparation of audit letters and opinion letters, as well as drafting responses to auditors’ requests for information.
+ Assists with other corporate matters, compliance reporting, and other legal matters as assigned by Company attorneys.
+ Gathers information and responds to basic subpoenas with minimal attorney supervision.
+ Assists with preparation of Legal Department budget and associated reports.
_Contracts_
+ Assists Company attorneys with contracts/transactional due diligence and preparation of Company contracts. Prepares, gathers, researches, and summarizes contractual requirements to assist attorneys and business units and conducts other specific contract-related projects. Assists Company attorneys and business units in the development of contract forms, policies and procedures, and standardized process improvements related to the contracts lifecycle.
+ Prepares, gathers, and disseminates information to appropriate business units regarding contract status or contract requests as directed.
_Other_
+ Oversees internal law library.
+ Provides notary services.
+ Conducts basic factual and legal research and analyzes law sources, such as statutes, judicial and governmental agency decisions, legal articles, legal codes, and treatises, using online legal research tools and databases, internal and external law libraries, and other resources and reference materials.
+ Assists Company attorneys with resolving routine legal issues.
+ This position may provide services to affiliates of the Company subject to the UNS Energy Code of Conduct and the related Policies and Procedures.
**Position-Related Responsibilities Specific to Level II** (in addition to responsibilities of a Paralegal I)
_Litigation_
+ Handles case management of moderately complex litigation with medium to high risk to Company. Coordinates with other business unit personnel in gathering facts and records for preparing and filing of proofs of claims associated with class action litigation (where Company is a class member), bankruptcy matters, and other complex litigation.
+ Responds to moderately to highly complex subpoenas and document requests, which may entail analyzing documents for responsiveness, providing recommendations to Company attorneys, handling extensions, clarifying requests, redacting information, and preparing related correspondence.
+ Represents Company in Small Claims Court proceedings.
+ With appropriate Company attorney supervision, drafts, issues, and tracks litigation holds, issues termination notices, and manages other related litigation hold responsibilities.
_Corporate and Compliance Matters_
+ Researches, collects information, and prepares and files various corporate reports with governmental agencies, such as (1) UNS Energy Political Action Committee, lobbyist reports and associated documents, (2) federal trademarks and copyrights, including performance of preliminary use searches and calendaring time-sensitive filing dates, and (3) UCC financing statements, amendments and continuations, including review of records in connection with UCC searches. Calendars expiration and other filing dates. Monitors and maintains databases, filing systems, and/or status reports and tracking logs for all reporting.
+ Assists Company attorneys with handling non-routine legal matters, as assigned, with discretion and initiative.Contracts
+ Assists Company attorneys with preparing, reviewing, gathering, organizing, inventorying, classifying, or summarizing contracts as needed for various purposes, such as internal review and approval, storage in the Company’s central electronic repository, implementation of policies and procedures related to electronic and hard copy contract storage, contract management, contract disputes, and contract amendments.
+ With appropriate Company attorney supervision, manages and oversees specific contract-related projects or on-going contracts-related duties.
_Other_
+ Conducts moderately complex factual and legal research.
+ Manages Legal Department’s records retention.
**Position-Related Responsibilities Specific to Senior Paralegal** (in addition to responsibilities of a Paralegal II)
A Senior Paralegal may be a specialist in one particular legal practice area or may perform specialist-level responsibilities in a range of areas. In addition, a Senior Paralegal may supervise other department positions.
_Litigation_
+ Coordinates Company civil litigation, including assisting with oversight of outside counsel. Reviews legal bills. Handles case management of complex to highly complex litigation with medium to high risk to Company. Actively participates in litigation strategy meetings with in-house and outside attorneys, experts, and Company personnel.
+ Manages litigation hold process (including recipient identification, drafts, and issuance of hold notices, reminders, and termination notices) and maintains hold notice tracking log. Coordinates with Company IT Department for retention of electronic records. Manages e-discovery process and litigation hold database.
_Contracts_
+ Assists Company attorneys with drafting and implementing standard contract templates. Reviews, proofs, and/or redlines draft contracts for content detail, accuracy, and consistency.
+ Identifies, summarizes, and documents material terms and key dates of executed contracts.
_Employment and Labor_
+ Assists Company attorneys with investigation of and response to employment-related charges filed against Company with state and federal agencies, union grievances, and arbitrations. Coordinates and assists with internal witness preparation. With appropriate Company attorney supervision, drafts position statements in response to charges filed with state and federal agencies.
+ Performs internal research, factual investigations, and evidence collection to support Company position in employment claims and workplace disputes. With appropriate and applicable Company attorney supervision, manages document production of employee records and other sensitive employment-related materials, which may entail analyzing documents for responsiveness, providing recommendations to Company attorneys, handling extensions, clarifying requests, redacting information, and preparing correspondence.
+ With appropriate Company attorney supervision, drafts declarations, severance agreements, and settlement agreements. Assists with preparation of other confidential documents.
+ Assists with corporate governance matters such as policies and procedures and development of labor and employment best practices and process improvements.
_Corporate and Compliance Matters_
+ Assists Company attorneys with a wide range of complex and highly confidential special projects, corporate commercial transactions, and internal investigations.
+ Assists in management and performance of due diligence for various Company transactions.Independently manages preparation of various regulatory filings with federal and state regulatory agencies, including FERC, SEC, FCC, etc. Performs information searches concerning Company operations in response to external information requests. Prepares and/or reviews various corporate documents (e.g., agreements, affidavits, declarations, powers of attorney, and other instruments).
+ Assists with corporate governance matters such as preparation and review of reports for presentation to Board.
+ Independently performs complex legal research and writing, as requested by Company attorneys.
+ Assists other executive officers, as needed.
_Supervision, if applicable_
+ Supervises, provides leadership, and coordinates activities of the Legal Department staff in order to meet departmental objectives and needs.
+ Ensures that the Company’s management principles, policies and programs are consistently practiced and continually support the Affirmative Action Plan.
+ Assumes fiduciary responsibility for operating the business and provide recommendations on cost improvement measures.

+ The Paralegal II must have significant experience actively and consistently working as a paralegal in the corporate or utility field or related area; has a paralegal certificate or equivalent knowledge earned through experience; is familiar with and demonstrates knowledge of a variety of legal concepts, practices, and procedures; relies on experience and judgment to plan and accomplish goals; may lead and direct the work of others; exercises and demonstrates the ability to think independently and critically, suggest solutions, and propose innovative approaches and increased efficiencies to problems or responsibilities; and works under the general supervision of a Company attorney. _Knowledge, Skills and Abilities specific to Senior Paralegal:_
+ The Senior Paralegal must have substantial and extensive experience actively and consistently working as a paralegal in the corporate or utility field or related area; has an associate’s degree in paralegal studies or equivalent knowledge earned through experience; possesses a depth and breadth in understanding complex legal concepts, practices, and procedures; relies on extensive experience and judgment to plan and accomplish goals; may lead and direct the work of others; has a wide degree of creativity and latitude; and works under general supervision of a Company attorney. The Senior Paralegal must be proactive and able to take initiative to identify issues, legal risks, and potential liabilities in order to report these to Company attorneys. The role also requires the ability to combine input from a variety of sources, make sound business decisions based on this information, and compile and present the data in a professional manner. In addition to the responsibilities of the Paralegal II, the Senior Paralegal performs a variety of additional, more complicated tasks and duties. The Senior Paralegal may specialize his/her work responsibilities into certain legal areas, such as litigation, contracts, compliance, or corporate, depending upon the needs of the Legal Department. If the position supervises other Legal Department staff, the Senior Paralegal must demonstrate a strong ability to supervise, lead and develop others.

**Summary**
SRP is seeking an experienced real estate/real property attorney to join SRP's in-house legal team. This attorney will provide legal guidance and advice to SRP client departments in connection with various land transactions and development projects.
The ideal candidate will have broad transactional experience with an emphasis on real estate purchase and sale transactions, easements, land rights, municipal and county development processes, and real property leases. Such experience should include negotiating and drafting complex, real-property-related agreements, conducting title review, and reading ALTA surveys for real property acquisitions. Experience with line-siting or other relevant practice experience before the Arizona Corporation Commission is beneficial but not required.
